By accessing the website, creating an account, placing an order or otherwise using the Services, you agree to comply with these Terms.

Nothing in these Terms is intended to exclude or restrict any mandatory consumer right that cannot legally be waived under Danish, European Union, European Economic Area or other applicable consumer protection law.

  • Limit available quantities;

Nothing in this section limits your mandatory rights where goods are defective, incorrectly described or otherwise fail to conform to the purchase contract.

6. Product Availability

All products are subject to availability.

Adding a product to your shopping cart does not reserve that product or guarantee that it will remain available.

If an ordered product becomes unavailable, we may:

  • Cancel the affected product;

  • Contact you for further instructions;

  • Offer an appropriate alternative where you agree; or

  • Refund any amount already paid for the unavailable product.

7. Placing an Order

Submitting an order constitutes an offer to purchase the products selected by you.

An automated order acknowledgment generally confirms that we have received your order. It does not necessarily mean that your order has been accepted.

A purchase agreement will normally be formed when we:

  • Send an order acceptance confirmation;

  • Confirm that the order has been dispatched; or

  • Otherwise expressly confirm acceptance of the order.

Please review all order information carefully before submitting your order.

Once an order has entered processing or fulfilment, we may not always be able to change or voluntarily cancel it.

This does not affect any statutory cancellation or withdrawal right available to you.

8. Our Right to Reject or Cancel an Order

We may reject, delay or cancel an order where reasonably necessary, including where:

  • A product is unavailable;

  • Payment cannot be verified or authorized;

  • Incorrect billing or delivery information has been supplied;

  • Fraudulent or unauthorized activity is reasonably suspected;

  • There is an obvious pricing or product-information error;

  • Applicable purchase limits have been exceeded;

  • Delivery to the supplied destination is unavailable; or

  • Processing the transaction would violate applicable law.

If payment has already been collected for an order that we cancel, the relevant amount will be refunded using the original payment method or another appropriate method where necessary.

9. Personal and Lawful Purchases

Unless otherwise agreed, products purchased through the Services are intended for lawful personal or household use.

You must not use the Services for:

  • Fraudulent purchases;

  • Unauthorized commercial resale;

  • Unlawful export;

  • Sanctions evasion;

  • Misrepresentation; or

  • Any other illegal activity.

We may reasonably limit quantities or cancel transactions where there are grounds to suspect unlawful or fraudulent activity.

The applicable product price will normally be the price displayed when you submit your order.

Prices, offers and promotions may change from time to time.

A later price change will not normally affect an order that has already been accepted, except where the original displayed price resulted from an obvious error.

Promotions may be subject to separate conditions, including:

  • Eligibility requirements;

  • Promotion periods;

  • Product restrictions;

  • Minimum purchase amounts; and

  • Usage limits.

Where specific promotional conditions apply, those conditions will apply to the relevant promotion.

11. Taxes, Customs and Additional Charges

Orders delivered across national borders may be subject to:

Where they are not included, the customer may be responsible for charges imposed independently by the relevant authorities, subject to applicable law.

By submitting an order using an online payment method, you confirm that you are authorized to use the selected payment method.

Available payment methods will be displayed during checkout and may vary depending on:

  • Product;

  • Delivery method; or

  • Payment provider availability.

Payments may be processed by Shopify, payment processors, financial institutions or other independent payment providers.

We may delay or cancel an order if payment cannot reasonably be verified or authorized.

Where Cash on Delivery or another payment-at-delivery option is available, the applicable conditions will be displayed during checkout or described in our Payment Policy.

13. Shipping and Delivery

Shipping and delivery are governed by our Shipping Policy.

Unless expressly stated as guaranteed, delivery times displayed through the Services are estimates.

Delivery may be affected by circumstances such as:

  • Carrier delays;

  • Customs inspections;

  • Incorrect or incomplete delivery information;

  • Severe weather;

  • Public holidays;

  • Transportation disruptions;

  • Regulatory restrictions;

  • Strikes; or

  • Other events outside our reasonable control.

You are responsible for providing a complete and accurate delivery address.

Where a failed delivery is caused by inaccurate information supplied by the customer, reasonable additional delivery costs may be charged where permitted by law.

For consumer orders, risk of loss or damage generally passes to the customer when the customer, or another person designated by the customer other than the carrier, physically receives the goods, subject to applicable law.

14. Returns and Right of Withdrawal

Returns, exchanges and refunds are governed by our Return and Refund Policy.

Consumers in the European Union or European Economic Area may generally have a statutory 14-day right of withdrawal for eligible distance purchases.

Where this statutory right applies:

  • You may withdraw from the purchase without providing a reason;

  • You must communicate your decision before the statutory period expires;

  • Goods must be returned within the applicable legal period; and

  • You are responsible for the direct cost of returning the goods where this responsibility has been properly communicated before purchase.

If goods are defective, damaged, incorrectly supplied or otherwise non-conforming, return costs and remedies will be handled in accordance with applicable consumer law and our Return and Refund Policy.

Our voluntary 30-day return policy provides additional return options and does not replace or reduce mandatory statutory rights.

15. Refunds

Approved refunds will generally be issued using the original payment method unless another method is agreed or required.

Refund processing time may depend on:

  • The reason for the return;

  • The payment method;

  • When the returned goods are received;

  • When valid evidence of return is provided; and

  • Processing times of the relevant payment provider.

Where a statutory EU/EEA withdrawal right applies, refunds will be processed within the applicable statutory period.

For physical goods, we may withhold reimbursement until we receive the returned goods or receive satisfactory evidence that they have been sent back, where permitted by law.

By submitting content for publication through our Services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, translate, publish and display that content for legitimate purposes connected with operating and promoting the Services.

You confirm that content submitted by you:

  • Is accurate to the best of your knowledge;

  • Is owned by you or submitted with appropriate permission;

  • Does not infringe another person's rights;

  • Is not unlawful or materially misleading;

  • Is not abusive, defamatory or obscene;

  • Does not contain malware or malicious code; and

  • Appropriately discloses compensation or incentives where legally required.

We may remove or refuse content that violates these Terms, applicable law or another person's rights.

The Services may contain tools, integrations or functions supplied by independent third parties.

We may not own, operate or control those services.

Your use of a third-party service may be subject to that provider's own:

  • Payment conditions; and

  • Operating requirements.

To the extent permitted by law, we are not responsible for losses caused exclusively by an independent third-party service outside our reasonable control.

The Services may contain links to third-party websites, applications or platforms.

Third-party services are not necessarily operated or controlled by us.

We do not guarantee the availability, security, legality or accuracy of independent third-party content.

If you access an external service, that provider's own terms and privacy practices may apply.

Transactions completed directly with an independent third party are generally between you and that third party.

20. Relationship With Shopify

Our online store is hosted and supported using Shopify.

Shopify may provide services including:

  • Store hosting;

  • Checkout technology;

  • Payment integrations;

  • Security tools;

  • Store-management functionality; and

  • Data-processing infrastructure.

Unless expressly stated otherwise, purchases made through our online store are purchases from Focus IT Consulting ApS, not from Shopify.

Shopify is not the seller of products offered by us and is not the party responsible for fulfilling our purchase contracts with customers.

Shopify may independently process certain personal information in accordance with its own privacy documentation and applicable law.

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Our Privacy Policy explains matters including:

We may use reasonable technical measures to prevent automated activity that creates security, privacy, operational or intellectual-property risks.

25. Suspension and Termination

We may suspend or terminate access to all or part of the Services where reasonably necessary because:

  • These Terms have been materially breached;

  • Fraud or illegal activity is reasonably suspected;

  • An amount remains lawfully unpaid;

  • Website or account security has been threatened;

  • An account creates a material risk to other users; or

  • We are legally required to do so.

Termination does not affect rights or obligations that arose before termination.

Provisions intended by their nature to continue after termination, including provisions concerning intellectual property, privacy, liability and disputes, will remain applicable.

26. Availability and Warranties

We make reasonable efforts to keep the Services available, accurate and secure.

However, we cannot guarantee that the website will always be:

  • Uninterrupted;

  • Free from technical faults;

  • Compatible with every device or browser;

  • Completely secure; or

  • Free from temporary errors.

Except where expressly stated or required by law, the Services are provided on an “as available” basis.

Nothing in these Terms excludes or restricts:

  • Mandatory product guarantees;

  • Statutory conformity rights;

  • Remedies for defective goods;

  • Rights relating to misleading product descriptions; or

  • Other consumer rights that cannot legally be waived.

27. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special or consequential losses that were not reasonably foreseeable when the relevant contract was formed.

  • Loss of data; or

  • Other indirect losses.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability relating to:

  • Fraud;

  • Fraudulent misrepresentation;

  • Intentional misconduct;

  • Death or personal injury caused by negligence where applicable;

  • Gross negligence where liability cannot lawfully be limited;

  • Mandatory product liability;

  • Non-waivable consumer rights; or

  • Any other liability that cannot legally be excluded.

28. Your Responsibility for Breaches

To the extent permitted by law, you may be responsible for reasonable losses or claims resulting directly from:

  • Your unlawful use of the Services;

  • A material breach of these Terms;

  • Your infringement of a third party's rights; or

  • Content submitted by you without the required rights or permissions.

You are not responsible for losses caused by our own breach, negligence or unlawful conduct.

29. Events Outside Our Reasonable Control

We are not responsible for a failure or delay caused exclusively by circumstances outside our reasonable control.

Such events may include:

  • Natural disasters;

  • Extreme weather;

  • War or civil unrest;

  • Government restrictions;

  • Epidemics;

  • Labor disputes;

  • Customs closures;

  • Carrier interruptions;

  • Telecommunications failures;

  • Power outages; or

  • Transportation-network disruptions.

Where such circumstances affect an existing order, we will take reasonable steps to minimize the impact and communicate with affected customers.

Mandatory consumer rights remain unaffected.

30. Severability

If any part of these Terms is found to be unlawful, invalid or unenforceable, that provision will apply to the fullest extent legally permitted.

Any invalid portion will be separated from the remaining Terms, and the remaining provisions will continue in effect.

31. No Waiver

If we delay or fail to enforce a right under these Terms, that does not automatically mean that the right has been waived.

Any waiver applies only to the specific circumstances to which it relates.

32. Entire Agreement

These Terms, together with the policies incorporated by reference, govern your access to and use of the Services.

They replace earlier versions of these Terms relating to the same subject matter.

Nothing in this provision excludes statements, representations or information that legally form part of a consumer purchase contract.

33. Assignment

You may not transfer your customer account or contractual obligations to another person without our prior approval, except where applicable law permits otherwise.

We may transfer our rights and obligations in connection with a legitimate business sale, restructuring, merger or transfer of business assets.

Any such transfer will not reduce your mandatory consumer rights.

34. Governing Law and Disputes

These Terms and purchases made through our online store are governed by the laws of Denmark, subject to applicable mandatory consumer protection laws.

If you are a consumer residing in another country, this choice of law does not deprive you of mandatory consumer protections that apply to you under the laws of your country of habitual residence where such protections cannot legally be excluded.

If a dispute arises, we encourage you to contact us first so that we can attempt to resolve the matter directly.

Where a dispute cannot be resolved directly, you may have the right to refer the matter to an appropriate consumer dispute-resolution body or a competent court.

Nothing in these Terms requires a consumer to waive the right to bring a claim before a court that has jurisdiction under applicable consumer law.

35. Amendments to These Terms

We may update these Terms where reasonably necessary to reflect:

  • Changes to the Services;

  • Changes to business practices;

  • Changes in technology;

  • Legal or regulatory requirements;

  • Security developments; or

  • Other legitimate operational reasons.

The latest version will be published through our online store together with an updated effective or revision date.

Where legally required, appropriate notice will be provided before a material change takes effect.

Changes will not retroactively remove rights arising from an existing consumer purchase contract where doing so would be prohibited by applicable law.
